The ground rules for using this site and the models, downloads and content on it.

These Terms of Service (“Terms”) govern your use of quigleycapital.com (the “Site”) and any Excel models, downloads, blog posts or other content offered on it. The Site is operated by Quigley Capital LLC (“Quigley Capital,” “we,” “us”). By using the Site or buying a product, you agree to these Terms. If you do not agree, please do not use the Site.
Quigley Capital’s private fund is closed and does not accept outside investors. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund or investment.
Everything on the Site, including models, case studies, white papers, blog posts and videos, is provided for general educational and informational purposes only. It is not investment, legal, tax or accounting advice, and it is not a recommendation to buy, sell or hold any asset. Past results described in case studies do not guarantee future outcomes. Consult your own qualified advisors before making any financial decision.
License. When you buy a model, you receive a non-exclusive, non-transferable license to use it for your own business or the work you do for your clients. You may modify the model and use its outputs in your own analysis, presentations and deliverables.
Restrictions. You may not resell, sublicense, share, publish or distribute the model files (modified or unmodified), post them where others can download them, or present them as your own product or template.
Your responsibility. Models are tools. The results depend entirely on the assumptions and data you enter. You are responsible for checking your inputs, reviewing the outputs and deciding how to use them.
Orders are processed by our payment provider, Lemon Squeezy, which acts as the merchant of record and handles payment, sales tax and receipts. Prices are shown in U.S. dollars at checkout. Lemon Squeezy’s own terms also apply to your purchase.
Because models are delivered as immediate digital downloads, all sales are final. If a file is damaged, will not open or is materially different from its description, email us within 14 days of purchase and we will fix it, replace it or refund you.
Custom modeling, M&A advisory and consulting engagements are governed by a separate written agreement between you and Quigley Capital LLC. Contacting us through the Site does not create a client, advisory or fiduciary relationship.
The Site and its content, including text, graphics, logos, models, white papers and videos, are owned by Quigley Capital or its licensors and are protected by copyright and trademark law. Except as these Terms allow, you may not copy, reproduce or republish them without our written permission. You may share links to the Site.
You agree not to misuse the Site: for example, by attempting to gain unauthorized access, interfering with its operation, scraping it in bulk, sending spam through its forms, or using it for any unlawful purpose.
The Site links to third-party sites and services such as our payment provider and video platforms. We do not control them and are not responsible for their content, policies or practices.
The Site and all content and products are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site or any model will be error-free or uninterrupted.
To the fullest extent permitted by law, Quigley Capital and its owners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, lost investment returns or lost data, arising from your use of the Site or any product. Our total liability for any claim relating to the Site or a product is limited to the amount you paid us for that product in the twelve months before the claim, or $100 if you paid nothing.
You agree to indemnify and hold Quigley Capital harmless from claims arising out of your misuse of the Site or products, or your violation of these Terms.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.
We may update these Terms from time to time. The effective date at the top shows when they last changed. Continued use of the Site after a change means you accept the updated Terms.
